A confidential clerk, according to the law, is always an individual entrepreneur authorized to perform all legal acts related to business operations (except for the disposal and encumbrance of real estate) based on a power of attorney known as a “prokúra.”

A prokúra can be granted to multiple individuals. In a limited liability company, the authority to appoint a confidential clerk lies with the general meeting, unless the partnership agreement or bylaws specify otherwise.

  • Submission of the proposal for the registration or removal of the confidential clerk in the Commercial Register

The granting of (prokúra) is effective upon registration in the Commercial Register. The proposal for registration must include the name and residence of the confidential clerk, as well as how they will sign on behalf of the entrepreneur. If multiple individuals are granted prokúra, the proposal must specify whether each can act independently or how many must act together.

A similar procedure applies when dismissing a confidential clerk; however, there is no legal obligation to notify the Commercial Register. Nonetheless, it’s advisable to do so to avoid binding the entrepreneur to actions taken by a dismissed clerk still listed in the register.
